General Terms and Conditions of Sale for VIP packs
1. Identification: these General Terms and Conditions govern relations between European Sport Communication S.A. (abbreviated to ESC), registered in Luxembourg under the number 19992208190, whose registered office is located at L-9991 Weiswampach, 53 Gruuss-Strooss and its Clients solely for the VIP packs offered on the website: www.european-sport.com.
In all other cases, only the general terms and conditions of sale (GTCs) appearing on the documents provided by ESC to its Clients (quotations, invoices, etc.) or received by the latter on request, shall apply.
2. Contract: the information provided on the www.european-sport.com website and/or communicated via the order form does not in any way constitute a contractual proposal, so that the mere desire to purchase expressed by the buyer cannot in itself give rise to a contract. On the other hand, the sending by the Client of a duly completed and signed order form, and its acceptance by ESC, give rise to a contract which falls within the scope of the application of these GTCs, and the action of ordering materialises the Customer’s unreserved acceptance of these GTCs. These Terms and Conditions are easily accessible on the www.european-sport.com website and the Customer may print them out to read them or to keep a record of them.
The contract is therefore deemed to have been concluded at the registered office of ESC, 53 Gruuss-Strooss, L-9991 Weiswampach.
3. Registration and booking: bookings are made using a form sent by ESC by e-mail, which must be completed, signed and returned to ESC.
An acknowledgement of receipt will be sent to the e-mail address given at the time of booking.
The booking deadlines are as follows:
- 1-day programme: 1 month before the event;
- 2-day programme: 2 months before the event;
- 3-day programme: 2 months before the event.
Any request received by ESC after these deadlines will be processed according to remaining availability and without any obligation for ESC to honour the reservation.
4. Price: the price indicated for each programme is, unless otherwise stated, firm and definitive and stipulated in euros, all taxes included. ESC reserves the right to modify its prices at any time, but the sale will be made at the price in force at the time the order is sent by the Client.
5. Payment : payment is made in full and in advance by bank card or bank transfer. In the first case, the Client is immediately informed of the debit and the sale is deemed to have been concluded.
In the second case, the Client himself instructs his bank to carry out the payment and the sale will only be deemed to have been concluded when ESC receives the funds in its bank account.
Any booking for which payment or proof of payment has not been received by ESC within 5 working days from booking by e-mail to info@european-sport.com will be cancelled and the places put back on sale.
6. Secured payments: payments by credit/debit card are made via a secured server external to ESC: this means that no bank details or confidential data pass through ESC site. The secured site checks the accuracy of the card details provided by the Client and immediately informs the Client of the acceptance or refusal of the transaction. Payment for purchases will therefore appear on the statement sent to the Client by the card issuer.
In the event of payment by bank transfer, the rules in force are those usually applied by Client’s bank.
7. Cancellation or modification by ESC: in the event of an insufficient number of bookings for a service one week before the date of service, ESC reserves the right to modify or cancel the service concerned.
ESC will then contact the registered Clients in order to consider their participation to another offer. If no alternative can be found, the full amount of the booking will be refunded immediately by bank transfer.
ESC may also cancel all or part of the service for any reason it deems valid, such as dangerous weather conditions, safety risk for the Client, force majeure, etc.
In the case of the sale of ‘helicopter packs’, if bad weather conditions make helicopter flights impossible (the pilot being the sole judge), 50% of the total amount of the reservation will be refunded to the Client by bank transfer in the week following the event; the remaining 50% covers the costs of ferry flight and helicopters grounding.
The conditions of a cancellation by ESC for any other reason will be negotiated between ESC and the Clients.
8. Withdrawal and/or cancellation by the Client: in accordance with the rules set out in European Directive 2011/83/EU, and in particular Art. 16 (l), the Client does not have a withdrawal period.
The conditions for cancelling a booking are as follows:
- from the date of booking to 45 days before the event: ESC retains 50% of the booking price;
- from 44 to 20 days before the event: ESC retains 75% of the reservation amount;
- from 19 days before the event: 100% of the reservation fee is retained by ESC.
Withdrawals may be sent to ESC by e-mail to info@european-sport.com. The date of consideration will be the date of receipt of the message by ESC (offices are open Monday to Friday from 9am to 6pm).
If a Client wishes to be replaced or to modify his choice, he must contact ESC by e-mail (info@european-sport.com) or by telephone (+352.445.890). A change to the chosen service will be considered subject to availability. If no other option is available, the cancellation rules will apply.
9. Intellectual property/copyright: all graphic elements, including photos, appearing on www.european-sport.com site belong to ESC or, where applicable, to their respective owners, and ESC uses them with their consent.
Any reproduction, even partial, is strictly forbidden without ESC written authorization, under penalty of prosecution under Luxembourg law.
10. Confidentiality : ESC undertakes to respect the strictest confidentiality concerning the information provided by the Client. However, information which is:
- available to the public in any medium;
- in ESC’s possession prior to delivery by the Client; or
- independently developed by ESCcannot and must not be deemed confidential.
11. Citation as reference: the Client expressly accepts that he may be cited and that his trademark and logo may be reproduced in any commercial document or ESC website as a client reference and exclusively as such.
12. Liability and insurances: it is clearly understood and accepted between the parties that ESC has only an obligation of means to carry out the programmes described on the site.
Nevertheless, ESC has taken out the following insurance policies:
- insurance covering the pecuniary consequences of its extra-contractual civil liability for damage caused to third parties as a result of the company’s operations, and the pecuniary consequences of its contractual and extra-contractual civil liability for damage caused to third parties because of its professional activities, with AMLIN Insurance SE, policy No. LXX048420;
- a financial guarantee sufficient to cover, in the event of bankruptcy or insolvency, the repayment of funds received from customers and any repatriation costs. This commitment is insured by the FGVL (Fonds de Garantie Voyages Luxembourgeois), policy number 028/2025 ;
- ESC can take out cancellation and/or repatriation assistance insurance for Client who so requests.
- ESC is a member of ULAV, Union Luxembourgeoise des Agents de Voyages (Tavel Agents of Luxembourg Union), which is a stakeholder in CLLV, Commission Luxembourgeoise des Litiges de Voyages (Luxembourg Commission for Travelling Claims).
If it is proven that ESC, one of its representatives, employees or collaborators, has committed a fault that may involve ESC’s responsibility for any prejudice suffered by Client, ESC undertakes to make every effort to ensure that Client is covered and/or indemnified by one or more of the aforementioned insurances.
In return, the Client hereby waives all recourse against ESC and its insurers and guarantees ESC against any recourse brought by third parties due to prejudice suffered as a result of the services provided by ESC.
Furthermore, in any event, the total amount of compensation to which the Client may be entitled in the event of ESC’s liability shall not exceed that provided for by law or covered by the above insurance policies and shall in any event be limited to the amount of the sums received by ESC.
13. Force Majeure clause: parties clearly agree and understand that cases of force majeure suspend automatically obligations of one party to the other.
A case of force majeure is an event which is simultaneously irrelevant to the concerned party, unusual, unpredictable and results in an impeachment for the party to comply with its duties, despite party’s conscientiousness.
14. Invalid clause: should all or part of any clause to this agreement be declared null and void, other stipulations remain in force and effect to their full extent and ESC and Client undertake to understand it in relation with the general spirit of the agreement.
Moreover, ESC’s tolerance, if any, of not taking advantage of a clause of the agreement must not be considered as a waiver of its right to invoke such a clause later.
15. Disputes: in case of any dispute arising from interpretation or execution of this agreement, parties agree to provide their best efforts to resolve it through a negotiated solution acceptable for both parties.
16. Applicable law, jurisdiction and language: these general terms and conditions, any quotation, agreement or mission statement and, more widely, any contractual relationship between ESC and Client are submitted to Luxembourger Law.
Likewise, the only legitimate jurisdiction is in the Luxembourger Courts of ESC headquarters and the one and only applying language is French.
